Terms of Service
Effective date: September 2, 2026. These terms are an agreement between Smarthinkerz LLC ("Hala," "we") and the clinic or entity creating an account ("you," "the clinic"). Draft for legal review before relying on it in production.
Hala provides a conversational digital front desk for clinics: a public Patient Desk that answers questions from clinic supplied knowledge and books appointments from a connected calendar, and a private workspace (My Desk) for managing it.
You must be authorized to act for the clinic you register. You are responsible for account credentials, for the people you grant access, and for all activity under your account. Keep your contact and billing information accurate.
New clinics receive a 14 day trial. When the trial ends without an active subscription, booking functionality pauses; clinic knowledge and settings are retained for a reasonable period as described in the documentation.
Plans are billed in advance on a recurring basis at the prices shown at purchase, plus applicable taxes. If a payment fails, we will notify you and retry; continued failure may pause booking functionality until payment succeeds. Plan changes apply as described on the pricing page.
You may cancel at any time from Clinic settings. Cancellation stops future renewals; the subscription remains active until the end of the paid period. Fees already paid are non refundable except where required by law or stated otherwise in writing.
You agree not to use Hala for unlawful purposes, to misrepresent your clinic or services, to submit content you have no right to use, to probe or disrupt the service, or to attempt to extract other clinics' or patients' data. We may suspend accounts that put patients, clinics, or the service at risk.
You are responsible for the accuracy and lawfulness of your clinic knowledge, for the medical services you deliver, for honoring appointments booked through Hala, for your obligations toward your patients including privacy notices where required, and for complying with the healthcare, licensing, and data protection rules that apply to your clinic.
Hala is an AI receptionist. It answers from the knowledge you provide and books from the calendar you connect. It does not provide medical advice or diagnosis, and its responses may occasionally be imperfect. You retain oversight through My Desk, including the ability to take over any conversation. You agree not to present Hala to patients as a source of medical advice.
Hala offers times from the connected calendar and verifies availability at confirmation. The clinic remains responsible for managing its calendar, honoring or rescheduling appointments, and communicating changes to patients.
The service interacts with third party services you connect, such as calendars, sign in providers, and payment processing. Those services are governed by their own terms, and their availability is outside our control.
Hala, including its software, design, and brand, belongs to Smarthinkerz LLC and its licensors. You retain your clinic knowledge and content; you grant us the license needed to operate the service with it. Feedback may be used to improve the product without obligation.
Our handling of personal information is described in the Privacy Policy, which forms part of these terms. Between the parties, you are responsible for your patient relationships; we process patient conversation and booking information to provide the service to you.
We work to keep Hala available and reliable, but the service is provided without a guarantee of uninterrupted operation. We may improve, modify, or discontinue features with reasonable notice of material changes.
We may suspend or terminate access for material breach of these terms, non payment, legal requirement, or risk to the service or its users. You may terminate by canceling your subscription and closing your account. Sections that by nature survive termination survive it.
Except as expressly stated, the service is provided as is and as available, without warranties of any kind, whether express or implied, including fitness for a particular purpose. Hala is not a healthcare provider and does not deliver medical services.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our total liability arising out of the service is limited to the amounts you paid for the service in the twelve months before the claim. Nothing limits liability that cannot be limited by law.
These terms are governed by the laws of the Sultanate of Oman, and disputes are subject to the jurisdiction of its courts, unless a different governing law is agreed in writing.
